2. Definitions
- Consumer (Verbraucher) — a natural person concluding a contract for purposes that are predominantly outside their trade, business, or profession (§ 13 BGB).
- Business customer (Unternehmer) — a natural or legal person or partnership with legal capacity acting in the exercise of their trade, business, or profession (§ 14 BGB).
- Service — the Advi Systems dashboard, Prompt Studio, the Advi Agents embeddable widget, related APIs, and all updates to the foregoing.
3. Account creation and eligibility
- You must be at least 18 years old to create an account.
- You must provide accurate registration information and keep it current.
- You are responsible for maintaining the confidentiality of your authentication credentials and for all activity that occurs under your account.
- You may create personal or organization workspaces. Organization administrators are responsible for the actions and the contractual compliance of members of their workspace.
4. Service description
Advi Systems provides two products:
- Prompt Studio — a structured prompt-engineering workflow that turns user inputs into optimised LLM prompts via the OpenRouter gateway.
- Advi Agents — embeddable AI chat agents for lead capture and visitor support on third-party websites and messaging channels.
The free tier and paid plans are described on the Pricing page. Feature availability may evolve; material reductions to paid-plan features will be communicated at least 30 days in advance to active subscribers.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or third-party right.
- Generate content that is illegal, defamatory, harassing, or harmful to minors.
- Generate content designed to deceive (impersonation, fraud, disinformation campaigns).
- Attempt to circumvent rate limits, security controls, or workspace isolation.
- Reverse-engineer, scrape, or systematically extract Service content beyond your own workspace's data.
- Resell or sublicense the Service without a written commercial agreement.
- Upload personal data of third parties without a valid legal basis under GDPR for the intended processing.
- Use the Service to generate or distribute malware, phishing content, or content infringing intellectual-property rights.
We reserve the right to suspend or terminate accounts engaged in prohibited use. Where the breach is not severe and immediate, we will provide reasonable advance notice and an opportunity to cure before suspension or termination.
6. Billing, subscriptions, and renewal
- Paid plans are offered on a monthly or annual subscription basis as selected at checkout. Fees, billing cycle, included usage, and any usage-based overages are disclosed before purchase on the Pricing page and the checkout screen.
- Subscriptions renew automatically at the end of each billing period at the then-current rate, unless cancelled before the renewal date.
- Cancellation is available at any time without giving reasons through the in-app cancellation flow in your account settings, in compliance with § 312k BGB (Kündigungsbutton). Cancellation takes effect at the end of the current paid period; previously paid fees are not pro-rated except where statutorily required.
- Prices include statutory VAT where applicable. The provider is currently a Kleinunternehmer under § 19 UStG; VAT is not separately charged.
- Invoices are issued electronically and made available in the dashboard. You consent to receipt of electronic invoices.
- Payment is due on the invoice date by the means selected at checkout. In the event of payment failure, we may suspend the paid functionality of your account after at least one written reminder and a reasonable grace period.
7. Free trial and free tier
The free tier is provided without payment and without service-level commitments. We may modify or discontinue the free tier at any time with reasonable advance notice. Where the free tier converts automatically to a paid plan at the end of a trial, the conversion, the price, and the cancellation method are disclosed at the time of trial activation and confirmed by email before the first charge.
8. Right of withdrawal for consumers (Widerrufsrecht)
If you are a consumer within the meaning of § 13 BGB, you have a statutory right of withdrawal as set out below. The right of withdrawal does not apply to business customers.
Widerrufsbelehrung
Widerrufsrecht. Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag des Vertragsabschlusses.
Um Ihr Widerrufsrecht auszuüben, müssen Sie uns — Vazghen Vardanian (Einzelunternehmen), Morsestraße 1, 50769 Köln, E-Mail: iamvazghen@gmail.com — mittels einer eindeutigen Erklärung (z. B. ein mit der Post versandter Brief oder eine E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Sie können dafür das in Anhang A beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist.
Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.
Folgen des Widerrufs. Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.
Vorzeitiges Erlöschen des Widerrufsrechts. Bei einem Vertrag über die Erbringung digitaler Dienstleistungen erlischt Ihr Widerrufsrecht, wenn wir mit der Ausführung des Vertrags begonnen haben, nachdem Sie (i) ausdrücklich zugestimmt haben, dass wir mit der Ausführung des Vertrags vor Ablauf der Widerrufsfrist beginnen, und (ii) Ihre Kenntnis davon bestätigt haben, dass Sie durch Ihre Zustimmung mit Beginn der Ausführung des Vertrags Ihr Widerrufsrecht verlieren, und (iii) wir Ihnen eine Bestätigung des geschlossenen Vertrags gemäß § 312f BGB zur Verfügung gestellt haben. Wenn Sie diese Zustimmung beim Abschluss eines kostenpflichtigen Plans erteilen, kann Ihr Widerrufsrecht damit erlöschen, bevor die vierzehn Tage abgelaufen sind.
9. AI-generated output — disclaimer
Outputs generated by the Service are produced by third-party large language models and are provided "as is". We do not guarantee accuracy, completeness, fitness for purpose, or non-infringement of generated content. You are responsible for:
- Reviewing all AI-generated output before use, particularly for decisions with legal, financial, medical, or safety consequences.
- Verifying factual claims against authoritative sources.
- Ensuring generated content complies with applicable laws and the policies of any third-party platform where you publish it.
- Not relying on AI output as professional advice (legal, medical, financial, etc.).
10. Your content and intellectual property
- You retain ownership of all content you submit to the Service (prompts, knowledge-base content, agent configurations, conversation history).
- You grant us a non-exclusive, worldwide, royalty-free licence to process your content as strictly necessary to operate the Service (storing prompts in your workspace, sending them to LLM providers for inference, generating outputs for your account).
- We do not use your content to train models. We do not share your content with third parties for purposes other than operating the Service.
- The Service itself (including the codebase, dashboard UI, brand, documentation, and the Advi Agents widget) is the intellectual property of Advi Systems. These Terms grant no licence to that intellectual property beyond using the Service as intended.
11. Liability
The following provisions apply to liability for damages and reimbursement of futile expenses, regardless of legal ground (in particular for breach of contract, tort, or culpa in contrahendo).
11.1 Liability — consumers
- We have unlimited liability for damages caused by intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), and for damages resulting from injury to life, body, or health caused by us, our legal representatives, or our agents in performance.
- For slight negligence (einfache Fahrlässigkeit), we are liable only for breach of a material contractual obligation (cardinal duty / Kardinalpflicht — an obligation the fulfilment of which makes the proper performance of the contract possible in the first place and on whose observance the contracting partner regularly relies and may rely). In that case, our liability is limited to damages typically foreseeable for contracts of this kind at the time of contract conclusion.
- Liability under the German Product Liability Act (Produkthaftungsgesetz) and for the assumption of an express guarantee remains unaffected.
- Any further liability is excluded.
11.2 Liability — business customers
- For damages caused by slight negligence in breach of a material contractual obligation, our liability towards business customers is limited per case of damage to the greater of (a) the fees you paid for the Service in the twelve months preceding the event giving rise to the claim, or (b) EUR 5,000.
- Liability for indirect or consequential damages — in particular lost profits, lost data not attributable to a failure of our agreed backup procedures, business interruption, or reputational harm — is excluded for slight negligence.
- Sections 11.1 sentences 1, 3, and 4 (unlimited liability for intent, gross negligence, life/body/health; Product Liability Act; express guarantees) apply equally to business customers.
12. Service availability
We make commercially reasonable efforts to keep the Service available. The Service is provided on a best-effort basis without a contractual service-level guarantee unless a separate written agreement provides otherwise. Planned maintenance is announced in advance where reasonably possible. Outages, security incidents, and material configuration changes are documented in the public changelog.
13. Third-party services
The Service depends on third-party sub-processors (Clerk, Supabase, OpenRouter and the underlying model providers, hosting platform, payment processor — full list in the Privacy Policy). We select these providers with care but are not responsible for outages, data loss, or terms changes at these providers beyond what is reasonable for an operator of an integrated service.
14. Termination
- You may terminate your account at any time through the in-app cancellation flow in your account settings, or by emailing iamvazghen@gmail.com.
- Either party may terminate for cause where the other materially breaches these Terms and fails to cure the breach within a reasonable period after written notice. Either party may terminate without cure period where cure is impossible or where immediate termination is necessary to address a security, abuse, or legal-compliance risk.
- On termination, your account data is deleted within 30 days, subject to statutory retention obligations for invoicing and accounting records (see Privacy Policy § 9). You may request an export of your data before termination.
15. Changes to these Terms
We may amend these Terms as the Service evolves. Material amendments are flagged at the top of the page with a revision date and, for active account holders, communicated by email at least 30 days before they take effect. If you do not object in writing before the proposed effective date, the amendment is deemed accepted; we will draw your attention to this consequence in the notification email. You may terminate the contract free of charge before the amendment takes effect.
16. Governing law, jurisdiction, dispute resolution
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. For consumers resident in another EU member state, the protections of mandatory consumer law in their country of residence remain unaffected.
For business customers, public-law entities, and special funds under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Köln, Germany. We retain the right to sue at the customer's general place of jurisdiction.
Online dispute resolution: the European Commission provides an ODR platform at https://ec.europa.eu/consumers/odr/. We are not willing or obliged to participate in dispute-resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle).
17. Severability
If any provision of these Terms is or becomes invalid or unenforceable in whole or in part, the validity of the remaining provisions remains unaffected. The invalid or unenforceable provision is replaced by the statutory provision; where no statutory provision applies, by a valid provision that most closely reflects the parties' economic intent.
